Role Overview:
Reporting to the Chief Operating Officer, the General Counsel will be an integral member of the Avanade Executive Leadership Team and will work directly with the Board and its sub-committees as Company Secretary.
The individual will have overall responsibility for all aspects of the legal function.
Primary Responsibilities - Individual Contributor:
* Create an accountable, performance based and cost-effective legal workforce that is responsible for all aspects of daily legal operations including but not limited to :
* commercial contracting
* legal and regulatory compliance
* ethics
* corporate governance
* data privacy
* intellectual property protection and expansion
* claims and litigation
* Advise the CEO and Board on appropriate governance requirements given ownership structure and shareholder make-up.
* Provide thought leadership and strategic guidance in all legal disciplines to executive leadership and business management including commercial contracting, human resource matters, data privacy, intellectual property protection, technology licensing, procurement, mergers & acquisitions, compliance and risk management
* Built stronger working alliances between the legal department and the business to facilitate proactive use of legal resources in support of business growth
* Represent Avanade within Accenture's legal organisation and initiatives and ensure Avanade works closely with Accenture personnel to leverage Accenture capability and programmes where appropriate
* Represent Avanade in strategic transactions globally
* Foster a workplace environment consistent with the vision and values of Avanade
Primary Responsibilities - Leadership of the Legal Function
* Oversee the development and execution of a broad-base ethics & compliance programme consistent with best industry standards
* Oversee global corporate governance including all Secretarial matters
* Oversee protection and expansion of Avanade's IP portfolio in partnership with business
* Manage the work of internal and external counsel on litigation and other significant legal disputes
* Ensure comprehensive and current template agreements are provided for use by business development, alliances, marketing, procurement and HR
* Play a lead role in ensuring Avanade had the appropriate measures in place to discharge it's Data Privacy obligations
* Support the Chief Risk Officer in discharge of his brief with particular emphasis on Client Data Protection and Avanade Asset Protection
* Support Corporate Development and Growth & Strategy functions in discharge of their briefs with particular emphasis on acquisitions, geographic expansion and retrenchment and origination of new solution and service offerings

* Integrity: An individual with impeccable integrity whose personal and professional values are consistent with Avanade's values and has proven standards of ethical behavior
* Impact and Impression: The General Counsel will readily connect with others and put them at ease immediately. S/he must build effective coalitions to move the agenda forward. S/he should also have the ability to persuade others to follow a disciplined course of action through challenging times.
* Communication: Is highly articulate and engaging; makes arguments in a compelling manner and comes to the point quickly. Proactively solicits the views of others before making key decisions. Makes self personally visible to the troops to communicate key messages and to listen. Has excellent negotiation skills; achieves win-win in seemingly impossible situations. Builds effective coalitions to move the agenda forward. Expresses own views candidly and openly, but also makes an effort to understand the views of others.

Ideal Candidate Profile:
* Experience leading and managing a globally distributed legal team in a high-performance, growth orientated company
* Experience in IT Professional Services
* Experience in US and International Employment Law
* Prior experience in working with Board and its sub-committees in Secretary role
* Track record of building credibility and network throughout a global organization
* Track record in exercising strong judgment and managing risk
* Effective and efficient problem solver, highly skilled in negotiating and drafting a wide variety of commercial agreements
* Strong P&L / results orientation
* Experience in working and traveling extensively internationally
* Experience in offshore operations
* Seattle based (at least for initial 9-18 months)
* Excellent academic record
* Juris Doctorate or equivalent from prestigious law school
* 15+ years of experience including legal practice and in-house counsel roles
